This offer is open only to investors that are “accredited investors” (as defined in Rule 501(a) of Regulation D promulgated under the Securities Act of 1933, as amended (the “Securities Act”)) that are also “qualified purchasers” within the meaning of Section 2(a)(51)(A) of the United States Investment Company Act of 1940, as amended (the “Investment Company Act”).

We are excited to announce our partners in the US have just secured access to a small block of Pre-IPO shares in Cerebras Systems and Syndex is proud to facilitate this offer to eligible investors.

Cerebras Systems is a computer systems company that develops computers and chips for artificial intelligence and is dedicated to accelerating deep learning. They are a start-up backed by premier venture capitalists and industry leading technologists. The company was founded in 2016 and is headquartered in Los Altos, California, with additional offices in San Diego. They are led by a team of pioneering computer architects, computer scientists, and deep learning researchers that have come together to build a new class of computer system that accelerates artificial intelligence by orders of magnitude beyond the current state of the art.

Cerebras Systems develops computing chips with the sole purpose of accelerating AI, and in August 2019 they unveiled the Wafer Scale Engine (WSE-3), a semiconductor chip that is 56x larger than the current biggest computer chip. In November 2019, Cerebras revealed the CS-1 system, a computer optimized for AI work. Cerebras claims the WSE-3 is the fastest AI processor available, and that the CS-1 system is the world's fastest AI computer built.

Currently, Cerebras has sold its CS-1 computer to customers including the Argonne National Laboratory and the U.S. Department of Energy. Notable investors include Benchmark, Sequoia Capital, Foundation Capital, and Altimeter Capital.

On April 2nd, 2024, the Chipmaking startup picked Citigroup Inc (NYSE:C) to lead an initial public offering, according to a report from Bloomberg citing people familiar with the matter. The belief is that they will list as early as the second half of 2024.

We anticipate this will be a highly sought after offering and likely to be quickly oversubscribed so please register your interest below to discuss in further detail.
